GigaScope JSON Works Free Version End User License Agreement

Provider: TechnoHighway Co., Ltd.

1. Application

This Free License Agreement (this “Agreement”) sets forth the terms and conditions for the use of the software “GigaScope JSON Works” (the “Software”) provided by TechnoHighway Co., Ltd. (the “Company”).

The user shall be deemed to have agreed to this Agreement when the user downloads, installs, launches, or uses the Software. If the user does not agree to this Agreement, the user may not use the Software.

2. Ownership of Rights

Copyrights, trademarks, and all other intellectual property rights relating to the Software belong to the Company or to third parties that have granted licenses to the Company.

This Agreement does not transfer ownership of the Software to the user. It only grants the user the right to use the Software within the scope expressly set forth in this Agreement.

3. License Grant

The Company grants the user a non-exclusive, non-transferable, and non-sublicensable right to use the Software free of charge, subject to the terms and conditions of this Agreement.

The user may use the Software for personal use, corporate use, business use, or commercial use.

The Software is provided in executable form. The Company has no obligation to provide source code, design documents, build procedures, or any other development-related information.

4. Prohibited Acts

Except where expressly permitted by applicable law, the user shall not engage in any of the following acts:

  1. Modifying, adapting, altering, or creating derivative works of the Software;
  2. Reverse engineering, decompiling, disassembling, or otherwise analyzing the Software;
  3. Circumventing or disabling license management, feature restrictions, signature verification, or other protection mechanisms;
  4. Redistributing, selling, renting, leasing, or sublicensing the Software to the general public without the Company’s permission;
  5. Removing or altering copyright notices, trademark notices, license notices, or other rights notices;
  6. Using the Software for any purpose that violates laws or regulations, public order and morals, or the rights of any third party.

When introducing the Software to a third party, the user should refer the third party to the Company’s official website or another official source designated by the Company.

5. Paid Features and Related Services

The Company may provide paid additional features or related services separately from the Software. Such features or services shall be subject to separate terms and conditions specified by the Company.

6. Data Management

The user is responsible for managing files and data that are loaded, edited, saved, converted, or output by using the Software.

The user shall, as necessary, create backups of target files and related data before using the Software.

The Company does not warrant that use of the Software will not cause file corruption, loss, modification, overwriting, compatibility issues, or any other data-related problems.

7. Third-Party Software

The Software may include software owned by third parties. Such third-party software is subject to the license terms specified by its respective rights holders.

Copyright notices and license terms for third-party software will be provided in THIRD-PARTY-NOTICES.txt, which is included with the distribution package, and through notices displayed within the Software.

8. No Warranty

The Software is provided “as is.”

The Company makes no warranties, whether express or implied, regarding the Software, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, continuity, usefulness, safety, compatibility, non-infringement of third-party rights, absence of errors or defects, or operation in any particular environment.

9. Limitation of Liability

The Company shall not be liable for any damage incurred by the user in connection with the use of, or inability to use, the Software, regardless of the legal theory of liability, whether contract, tort, or otherwise, except in cases of willful misconduct or gross negligence by the Company.

10. Termination

If the user violates this Agreement, the Company may terminate this Agreement and request that the user stop using the Software.

The user may terminate this Agreement at any time by ceasing use of the Software and uninstalling it.

Upon termination of this Agreement, the user shall stop using the Software and delete or destroy all copies of the Software in the user’s possession.

11. Export Control

The user shall not use, provide, transfer, or export the Software in violation of the export control laws and economic sanctions regulations of Japan or any other relevant country or region.

12. Changes to this Agreement

The Company may change this Agreement as necessary.

If the user uses the Software after any change to this Agreement, the user shall be deemed to have agreed to the changed Agreement.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Japan.

Any dispute arising in connection with this Agreement or the Software shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Note

This Agreement applies to the free version of GigaScope JSON Works. Other paid versions, subscription versions, corporate features, CLI features, AI integration features, team features, and similar offerings may be subject to separate terms and conditions.
